| By using the bioclub.com.tw Web site or
its affiliated Sites, chanchao.com.tw, machinenet.com.tw,
and ecclub.com.tw, (the " BIOCLUB Sites" or
"Sites") users agree to be bound by the following
terms and conditions. |
| BIOCLUB
Connect/Membership Agreement |
All submissions to BIOCLUB Connect are
governed by the terms and conditions set forth in the
BIOCLUB Membership Application and Agreement (the "Membership
Agreement") signed by you or an agent of your company.
For additional information on how to register as a member
please visit http://about.bioclub.com.tw By submitting
a press release at BIOCLUB Connect, you agree to be bound
by the terms and conditions set forth in the Membership
Agreement, which are also set forth here for your reference:
A party submitting material to BIOCLUB for distribution
("company") grants BIOCLUB the rights to reproduce,
distribute, translate and create derivative works of the
material submitted. Company warrants and represents that
the content of all materials submitted to BIOCLUB for
distribution will be accurate and original, that company
owns the material provided to BIOCLUB, that the material
will not violate or infringe upon any copyright, trademark,
or other intellectual property, proprietary, personal,
privacy, or other rights worldwide of other persons and
contains nothing defamatory, and that the material complies
with all applicable laws and regulations. Company will
indemnify and hold harmless BIOCLUB and its officers,
directors, employees, licensees, successors and assigns,
including those licensed or authorized by BIOCLUB to transmit
and distribute materials, from any and all liabilities,
damages, judgments, claims, costs, losses, and expenses
(including reasonable attorney's fees and costs) arising
out of or related to breach of these warranties.
For non-Taiwan members, payment terms are due in full
in U.S. funds at time order is placed. BIOCLUB is authorized
to charge the credit card referenced in company's Membership
Agreement for services rendered unless company makes prior
payment arrangements for specific services with BIOCLUB.
If company's account becomes delinquent, company acknowledges
and agrees that BIOCLUB may demand payment of the balance
owed in full, with accrued interest according to applicable
laws and late charges. In the event of a default on the
balance owed, company agrees to pay all costs of collection,
including attorneys' fees and costs, which are incurred
by BIOCLUB or its agents. In the event of litigation or
arbitration to enforce the terms or conditions of the
Membership Agreement, the prevailing party will be entitled
to recover from the other party its costs and fees, including
reasonable attorney's fees. |

| General Terms and Conditions |
- Limitations on Scope
of Use
Use of the BIOCLUB Sites is limited
to submission of press releases for distribution
via BIOCLUB Connect and registration for and use
of offered products and services.
You agree not to use the BIOCLUB Sites for any other
purposes, including, without limitation, to store,
aggregate, reproduce or distribute information available
on the Sites in any manner or to compete directly
or indirectly with BIOCLUB; to interfere with or
disrupt the operation of Sites or the networks or
servers connected to the Sites in any manner; to
impersonate any person or entity or otherwise misrepresent
your affiliation with any person or entity; to upload,
post or otherwise transmit any content that infringes
the proprietary rights of any third party, or is
otherwise unlawful or offensive; to harass or otherwise
harm BIOCLUB or any other person or entity; or to
engage in commercial activities of any kind without
prior consent of BIOCLUB.
Any unauthorized use of the BIOCLUB Sites may result
in termination of all rights to use the Sites and
will be penalized the full extent provided for by
law.
- Disclaimer of Warranties
You agree that your use of the
Sites is entirely at your own risk. EXCEPT AS SPECIFICALLY
PROVIDED IN THIS AGREEMENT, THE SITES AND THE MATERIALS
ON THE SITES ARE PROVIDED AS IS, WITHOUT WARRANTIES
OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
OR NON-INFRINGEMENT. BIOCLUB does not make any representations
or warranties that the Sites or materials on the
Sites or products and services purchased at or through
the Sites will meet your requirements or expectations,
or that the operation of the Sites will be uninterrupted,
timely, secure or error-free. Some jurisdictions
do not allow the exclusion of certain warranties,
so some or all of the above exclusions may not apply
to you.
- Limitation of Liability
You agree that BIOCLUB will not
be held liable for any improper or incorrect use
of the Sites or the materials on the Sites and assumes
no responsibility for any user's activities on the
Sites or for the inaccuracy of any content on the
Sites. In no event will BIOCLUB be liable for any
direct, indirect, incidental, special, exemplary
or consequential damages, including, without limitation,
procurement of substitute goods or services, loss
of use, data or profits, or business interruption,
arising in any way out of the use of (or inability
to use) the Sites or the materials on the Sites
or the inaccuracy of any content on the Sites, however
caused, under any theory of liability. This disclaimer
of liability applies to any damages or injury under
any cause of action, including, without limitation,
those caused by any failure of performance, error,
omission, interruption, deletion, defect, delay
in operation or transmission, computer virus or
bug, communication line failure, theft, destruction
or alteration of or unauthorized access to the Sites
or materials on the Sites. Some jurisdictions do
not allow the exclusion of liability for incidental
or consequential damages, so some or all of the
above exclusions or limitations may not apply to
you.
- Disclaimer of Liability
for Third Party Content and Links
You agree that BIOCLUB is not responsible
and will not be held liable for any third party
content on the Sites or any third-party content,
products or services available on other Web sites
accessed through links from the Sites. Links to
third-party Sites are for your convenience only,
and their inclusion on the BIOCLUB Sites does not
imply any endorsement, guarantee, warranty or representation
by BIOCLUB.
- Proprietary Rights
Copyrights, trademarks, service
marks, patents or other proprietary rights and laws
protect the BIOCLUB Sites and all materials on the
Sites, including, without limitation, “BIOCLUB”
and all other trademarks and logos on the Sites.
Except as specifically permitted in this Agreement,
the BIOCLUB Membership Agreement or by express written
consent of BIOCLUB, you agree that you may not use
the Sites or the material on the Sites in any manner.
